Which Dutch company shall you use?

The most important company forms in Dutch company law are:

  • B.V (private limited liability company)
  • N.V (public limited liability company) and
  • Cooperatief (cooperative, which can also be incorporated as a limited liability company)
  • Open C.V (limited partnership)

The Dutch BV is chosen as legal form for many companies in the Netherlands. It is comparable to the UK limited or US LLC. The Dutch NV is often chosen when the company intends to list the legal entity on a stock exchange. The Dutch Cooperative is chosen instead of BV because of its legal flexibility and the position on tax dividends. The CV is sometimes used when there are managing and investing partners.
